ProVirtual offers full-time, independent administrative support through a virtual assistant known as a Global Team Member (GTM) as outlined in this agreement.

 

Scope of Services: ProVirtual commits to providing administrative support through GTMs on a contract basis according to the Client's provided and approved job description. This job description may be adjusted as new tasks arise; however, changes are not valid without ProVirtual's written consent. All modifications to the GTM job description will be governed by the terms of this agreement.

 

No Warranty/Limitations on Liability: ProVirtual does not guarantee the quality or suitability of services or goods and will not be liable for any losses exceeding the fees paid by the Client for the assignment causing the loss. This includes direct, incidental, or consequential damages like lost profits or data. Claims against ProVirtual must be made in writing within 30 days post-GTM assignment termination or are considered waived.

 

Term and Termination: This agreement is effective from the stated start date and extends for five years, with automatic renewals for subsequent five-year terms unless terminated with fifteen days' notice. Immediate termination is applicable if the Client fails to meet payment obligations or undergoes bankruptcy, insolvency, or business cessation. Post-termination, ProVirtual retains the right to all due payments.
